Jean Monnet Module : Lectures on EU & Polish Commercial Law

On May 16, 2019, professor Joanna Kruczałak-Jankowska had the  lectures at the Law Institute of the Precarpathian National University named after Vasyl Stefanyk (Gdańsk University, Poland). The professor has lectured in English on the topic of Commercial Law of the EU and Poland.

Lectures were held due to the funding by the EU   (Jean Monnet Module, “Commercial Law of the European Union”,  600196-EPP-1-2018-1-UA-EPPJMO-MODULE), funded by the European Union.

In particular, there were considered problematic issues of harmonization of Polish legislation in the sphere of law of Ukraine and the European Union. Special attention was paid to the influence of the directives  and regulations on Commercial Code of Poland (Kodeks spółek handlowych). Among them the  EU Directive 2017/1132 from  14 June, 2017 on the harmonization of certain aspects of company  law of the European Union (EU).

The lecture had not only a scientific but also a practical aspect. Significant part of the time was devoted to the procedure of registration of enterprises in Poland and the European Union, including by the foreign founders (legal entities and individuals) from Ukraine.

Taking into account that  prof. Joanna Kruchalak-Jankowska is a leading specialist in Poland in the field of bankruptcy law and business restructuring, a separate lecture was devoted to issues of M & A and liquidation of companies. Lecturer  has analized in detail the content of the Regulation (EU) 2015/848 of the European Parliament and of the Council of 20 May 2015 on the bankruptcy procedure (recast) of the former Council Regulation (EC) No 1346/2000. She also drew attention on the latest draft changes that are proposed to be implemented in the EU legislation ((2014/135/EU) COM (2016) 723 final, 2016/0359), Proposal for a Directive of the European Parliament and of the Council on preventive restructuring schemes.
