DESCRIPTION
This course is designed for fifth-year law students interested in Commercial Law, Company Law and a business law practice of EU countries.
It will cover choice of entity, employment agreements, employee benefits and trade secrets when making business in the European Union. The focus will be on developing the skills necessary to address these issues in practice. Students will listen to lectures of Coordinator and guest lecturers from Poland and Czech republic. They also will draft business documents (articles of association etc.) as if they are in law firm dealing with a client, using actual documents from current business deals.
Emphasis is placed upon business contracts, system of registration of business activity, joint-stock companies, limited liability companies, partnerships, with consideration given to other forms of business, such as non-profit corporations, professional associations and limited liability companies.
ORGANIZATION
This is a lecture course in which topics are presented by the lecturer (coordinator). There is a comprehensive final exam.
COURSE OBJECTIVES

- To introduce students to various types of companies in the European Union.
- To introduce students to the specific kinds of contracts in the EU.
To provide students with opportunities to develop basic knowledge of documents’ drafting in Commercial Law of the European Union.

Lecture 5: Free Movement of Persons and Services (2 hours).
Lecture 6: Free Movement of Capital (2 hours).
Lecture 7: Commercial Law and Policy (2 hours).
Lecture 8: Types of Contracts in EU (4 hours).
Lecture 9: Types of Companies in EU (4 hours).
Lecture 10: System of Registration of Business activity (2 hours).
Lecture 11: Competition Law (2 hours).
Lecture 12: Removal of Taxation Barriers to Trade (2 hours).
Lecture 13: Public Procurement (2 hours).
Lecture 14: Industrial and Commercial Property Rights (2 hours).
Lecture 17: Judicial Review and the European Court of Justice (2 hours).
